Birchwood Price Tools Trade Terms and Conditions

September 2026

These terms explain how Birchwood Price Tools Ltd accepts orders, supplies goods, takes payment and handles returns and claims for customers buying in the course of business. Please read them before placing an order.

1. Scope and application

1.1 These terms apply to sales of goods by Birchwood Price Tools Ltd (company number 16988794), 18 Whiteladies Road, Bristol BS8 2LG (we, us), to a customer buying in the course of business (you).

1.2 You must give accurate business information when applying to trade and accurate billing and delivery information when placing an order. Tell us promptly about any change that affects an accepted order. We may verify that you are buying in the course of business. Any request for a credit facility is subject to separate assessment and approval.

1.3 You accept these terms when submitting a trade application. They govern each order that you subsequently place and we accept. If credit or account specific arrangements are agreed, separate written terms may cover the credit facility, pricing, rebates, commercial terms or buying group arrangements. Those agreed terms and the order confirmation take precedence for the relevant order to the extent of a conflict. Your own purchasing terms do not apply unless we expressly agree to them in writing.

1.4 If we deliver to a customer or site you nominate, you remain our customer, responsible for payment and for the instructions you give us. You are responsible for complying with applicable law when you resell the goods, including your obligations to consumers. We do not assume your obligations to your end customer.

2. Orders, prices and availability

2.1 A quotation is an invitation to place an order and is not an offer to supply. An order placed through the B2B website, by email, on an order form or by another accepted channel is your offer to buy. It becomes binding when we confirm acceptance in writing or dispatch the goods, whichever occurs first. An automated acknowledgement confirms receipt only. We may decline an order where stock, pricing or payment arrangements are unresolved, and will tell you if we cannot supply it.

2.2 Prices are those confirmed for your account or order at the time of acceptance. Unless expressly stated, prices exclude VAT, delivery and any other stated charges. We will show applicable charges before accepting an order. We may correct an obvious pricing or product information error before acceptance; afterwards we will ask you to agree any change or cancel and refund any payment for the affected goods.

2.3 Product images and descriptions help identify goods, but minor packaging or specification changes may occur. We will contact you before supplying a materially different product. Promotional prices and bespoke pricing apply only under the conditions communicated with them. Stock indications are subject to confirmation when the order is accepted.

2.4 We may accept partial orders and deliver in instalments where agreed or reasonably necessary, and invoice each dispatched instalment. We will advise you of material shortages or delays. You may cancel an undelivered affected item if we cannot agree a revised supply date, except where it is a made to specification item already in production. You may request cancellation of another accepted order before dispatch; we may agree to it in writing and may charge reasonable, evidenced costs already incurred, notified to you before cancellation is confirmed.

3. Payment

3.1 If your account is set up for proforma payment, we will issue a proforma invoice and dispatch only after receiving cleared funds. If your account is set up for card payment, you must pay by an approved credit or debit card when placing the order. We will not dispatch unpaid proforma or card orders. For approved credit orders, payment is due in accordance with the separately agreed credit terms. Any payment option offered at checkout remains subject to your approved account setup.

3.2 Your proforma or card account does not include deferred payment or an agreed credit limit. To request a credit facility later, please contact your account owner. Credit must be separately assessed and approved; we will give you the credit account terms and confirm the limit and payment period before any order is placed on credit.

3.3 Prices exclude VAT and delivery unless expressly stated. Your order confirmation will show the payment due and any applicable charges. If a card payment fails or a proforma payment is not received, we may hold or cancel the unfulfilled order after contacting you. We will return any payment for an item we cannot supply under clause 2.4.

3.4 If an order is cancelled before dispatch or goods are accepted for a refund under these terms, we will make the applicable repayment by the original payment method where practicable. A trade credit for an accepted return will be recorded by a Birchwood credit note. Do not deduct an unapproved credit from another amount due.

3.5 We may suspend unfulfilled orders if you become insolvent, cease trading or materially breach these terms. Amounts owed for goods already supplied remain payable. This does not affect rights already accrued.

4. Delivery, risk and ownership

4.1 Delivery charges, method and destination will be confirmed with your order. Stated dispatch and delivery dates are estimates unless expressly agreed as binding. You must provide a suitable, accessible delivery address and arrange for an authorised person to receive the goods.

4.2 Risk of loss or damage passes to you on delivery to the agreed address, including a delivery address you nominate for a third party, or on collection by you or your nominated carrier. Please inspect deliveries promptly and report shortages, transit damage, missing parcels or incorrect goods as soon as possible through the Returns Portal so we can investigate. A delay in reporting does not automatically extinguish a valid claim.

4.3 Ownership of goods paid for by proforma or card passes to you on delivery to the agreed address or collection by you or your nominated carrier. Risk passes as set out in clause 4.2. If an exceptional payment reversal occurs after dispatch, you remain liable for the agreed price; we may pursue the unpaid amount by lawful means.

5. Returns and product claims

5.1 Raise trade returns and warranty notices through the B2B Returns Portal within a reasonable time after discovering the issue. Provide the Birchwood order or invoice number, item, quantity, reason and at least one clear photo. Where an end user is involved, include their purchase date, sales channel and evidence of the issue. Keep each item separate and identifiable. Do not send goods without a return reference and our return instructions. We aim to respond to a complete request within two working days with approval, a request for information or a reasoned decline; inspection and final resolution may take longer where reasonably necessary.

5.2 Report delivery damage and shortages as soon as possible. We assess alleged faults, damage and incorrect supply against the evidence and, where needed, inspect or test the goods. If we ask you to send an item for assessment, you arrange and initially pay for the return unless we agree collection. Where we accept a trade claim for faulty, damaged or incorrectly supplied goods, we will agree an appropriate repair, replacement or credit, with no restocking charge, and arrange collection or reimburse reasonable return postage incurred under our instructions. Original packaging is not required for an accepted fault claim, but goods must be securely packed. A return reference permits assessment and does not guarantee credit.

5.3 For goods ordered in error or overstock, we may accept a return for credit if the goods are returned within 30 days of the Birchwood invoice, unused, resaleable and in their original trade packaging. A 10% restocking charge applies. The customer pays the carriage for such a return. Special order or made to specification goods and opened consumables, PPE or workwear are not accepted for change of mind returns. These exclusions do not prevent an accepted fault or supply error claim.

5.4 If testing does not confirm a reported fault, we will explain the finding and consider further evidence before deciding the claim. We will agree whether a rejected item should be returned to you or handled another way. An end user return or refund does not automatically entitle you to a Birchwood credit, and you remain responsible for your own consumer customers. Any approved trade credit will be issued by Birchwood as a credit note against the relevant invoice; please do not deduct an unapproved amount from another invoice.

5.5 Birchwood Price Tools Ltd trade warranty. We warrant that the goods will, on delivery and during any BPT warranty period expressly confirmed for them in writing, conform in all material respects with their description and any applicable specification and be free from material defects in design, materials and workmanship. You are responsible for checking that goods are suitable for your intended purpose, but this does not exclude a fitness obligation that cannot lawfully be excluded. Any exclusion or restriction of the terms implied by sections 13 to 15 of the Sale of Goods Act 1979 applies only to the extent permitted by law and subject to the statutory requirement of reasonableness.

5.6 If you believe goods do not meet clause 5.5, notify us through the B2B Returns Portal within the applicable BPT warranty period and within a reasonable time after discovering the issue. Give us a reasonable opportunity to review the evidence and inspect or test the goods. If we ask you to return them, follow our instructions and initially pay the reasonable return carriage; we will reimburse reasonable carriage incurred under those instructions if we accept the claim. Do not attempt to repair or alter the goods, or arrange repair by someone else, without our prior written consent.

5.7 If we confirm a defect covered by clause 5.5, we may repair or replace the affected goods or refund their price in full. Subject to clause 6.1 and rights or remedies that cannot lawfully be restricted, these are your contractual remedies for breach of the express BPT warranty. We will explain the outcome after a reasonable opportunity to examine the goods.

5.8 The BPT warranty does not cover a defect caused by failure to follow our instructions on storage, installation, use or maintenance, or, where no instructions are supplied, good trade practice; a repair or alteration without our prior written consent; fair wear and tear, wilful damage, negligence or abnormal storage or working conditions; or a difference from the original description or specification resulting from a change required by law or a product improvement, provided the goods still comply with the contract and applicable law.

5.9 A Silverline or other manufacturer warranty is provided to the eligible end user under that manufacturer’s terms. It is separate from the BPT trade warranty and does not give you, as the trade buyer, a claim under the manufacturer’s end user warranty. Direct eligible end users to the applicable manufacturer warranty process. This does not remove your responsibilities to your own customers or rights and remedies between you and Birchwood that cannot lawfully be excluded.

6. Liability

6.1 Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of the implied undertaking as to title, liability for defective products under the Consumer Protection Act 1987, or any other liability that cannot lawfully be excluded or restricted.

6.2 Subject to clause 6.1, neither party is liable to the other for loss of anticipated profit, loss of business opportunity or indirect or consequential loss arising from a particular order. Our total liability for claims arising from an order is limited to the amount paid or payable for the affected goods, to the extent that this limit is reasonable and enforceable under applicable law.

6.3 This clause does not remove the remedies for defective or misdescribed goods that cannot lawfully be excluded, and does not limit your obligation to pay the agreed price for goods supplied.

7. General

7.1 Neither party is liable for delay caused by events outside its reasonable control, provided it tells the other promptly and takes reasonable steps to reduce the impact. Payment due for goods already delivered remains payable. If the event materially delays an undelivered order, either party may cancel the affected undelivered part by written notice.

7.2 We may update these terms for future orders by publishing a revised version on our B2B website or notifying you by email. We will draw material changes to your attention before you place an order under them. The version applying to an accepted order remains the version agreed when that order was accepted unless both parties agree otherwise.

7.3 If part of these terms is unenforceable, the remaining provisions continue. A delay in enforcing a right is not a waiver of it. Neither party may transfer its rights or duties under an accepted order without the other party’s written consent, except that we may assign a receivable without reducing your rights.

7.4 These terms and each order are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to any mandatory law that applies.
